INVESTEP ACADEMY TESLA CONTEST OFFICIAL CONTEST RULES (THE "CONTEST RULES"): CONTEST OVERVIEW: The Investep Academy Tesla Contest (the "Contest") is sponsored by Investep Academy, a Florida company (the "Sponsor") and is administered by Investep Academy (the "Administrator"). The Contest runs from 12:01a.m. Eastern Standard Time ("EST”) on January 1, 2024, to 11:59:59 p.m. EST on December 11, 2024 (the "Contest Period"), and is subject to these official Contest Rules.

1. ELIGIBILITY: The Contest is open to individuals ("Eligible Entrants") who: (a) all individuals who have reached the age of majority in their state/province/territory of residence at the time of entry; and (b) are registered students in Investep Academy. Employees, representatives, or agents (and those with whom such persons are domiciled, whether related or not) of the Sponsor, and their respective parent companies, subsidiaries, affiliates, distributors, and advertising/promotion agencies (collectively, the "Contest Parties") are not eligible to participate in the Contest. All inquiries regarding the Contest should be directed to the Sponsor.

2. HOW TO ENTER: 1) entry in the contest. There is a limit of one (1) entry per Eligible Entrant and per email address in the Contest, regardless of the method of entry (for greater certainty: b) an Eligible Entrant holding multiple emails addresses may only enter the Contest once). If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) obtain more than one (1) entry per Eligible Entrant/email address during the Contest Period; and/or (ii) use multiple names, identities, email addresses, and/or any automated, macro, script, robotic, or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest, then such person may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. If an entrant submits or purports to submit more than one (1) entry, all entries received after the first entry will be void. Those who do not follow all of the instructions, provide all required information in their entry form, or abide by these Contest Rules or other instructions of Sponsor may be disqualified at Sponsor's sole and absolute discretion. Sponsor reserves the right, in its sole and absolute discretion, to void (or to direct the Administrator to void) any and all entries of an entrant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness, or proper conduct of this Contest. No photocopied, computer-generated facsimiles, mechanically reproduced, or mass entries permitted. All entries become property of the Sponsor and will not be returned. All entries are subject to verification at any time. The Sponsor and/or Administrator reserves the right, in their sole discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor, including, without limitation, government-issued photo identification) to participate in this Contest. Failure to provide such proof to the satisfaction of the Sponsor within five (5) business days of a request for the same from the Sponsor may result in disqualification. The sole determinant of the time for the purposes of a valid entry in this Contest will be the Sponsor's official clock.

Entrant Privacy:
Your submission of an entry constitutes your consent to participate in this Contest and your consent for the Sponsor to obtain, use, and share/transfer your name and email address and any other required entry information with, to, or between the Sponsor, and the Administrator, for the purpose of administering this Contest, awarding the Prizes, to comply with legal requirements, and in accordance with Investep Academy This paragraph does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use, and/or disclosure of that individual's personal information. Except where prohibited by law, acceptance of a prize constitutes winner's consent to Sponsor's, and their respective affiliates' and agents' use of the winner's name, likeness, photograph, voice, opinions, and/or city/state/province of residence for advertising and promotional purposes in any media, worldwide, without payment or consideration. You may be required to sign a document confirming your consent to this effect. Personal information of the Prize winner may be stored on servers located in the United States and, therefore, may be subject to the laws of the U.S.

The Prize winner is not entitled to any difference between the actual value of the Prize and the approximate retail value of the Prize. For the avoidance of any doubt, the Prize consists of the Prize itself, and not the approximate or actual retail value of the Prize.

Without limiting the generality of the foregoing, the following general conditions apply to the Prize: (i) the Prize must be accepted as awarded, must be taken at the time specified by the Sponsor, is not transferable, assignable or convertible to cash, and there can be no substitutions (except as may otherwise be specifically permitted by Sponsor in its sole and absolute discretion); and (ii) Sponsor reserves the right at any time to (a) place reasonable restrictions on the availability or use of the Prize or any component thereof and (b) substitute a Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including, without limitation, but solely at the Sponsor's sole discretion, a cash award. The Prize winner agrees to waive all recourse against the Contest Parties if the Prize or a component thereof does not prove satisfactory, either in whole or in part. Further, the Prize may be rescheduled, cancelled or substituted in Sponsor's sole and absolute discretion. The Prize winner must be of the age of majority in their province/state/territory of residence.

Prize may not be separated or redeemed for cash.
Sponsor will have no further obligation to the Prize winner.
All costs and expenses associated with the acceptance and use of the Prize not expressly specified herein as being included in the Prize, including, but not limited to, all federal, provincial, state, and local taxes, not expressly specified in these official Contest Rules as being included in the prize.

4. WINNER SELECTION / NOTIFICATION / CONFIRMATION:
On December 13, 2024, (the "Draw Date"), at approximately 6:00pm-8:00pm Eastern Standard Time (ET), one (1)eligible Entrant will be selected by random draw by the Administrator as the potential Prize winner from all eligible entries received during the Contest Period. The odds of being selected as a potential Prize winner are dependent upon the number of eligible entries submitted and received in accordance with these Contest Rules.

Subject to verification of eligibility and compliance with these Contest Rules, the potential Prize winners will be declared the official Prize winners of the Contest. The Administrator will make up to three (3) attempts to notify the selected entrant of their selection by email within seven (7) business days of the Draw Date (the "Notification Period"). If a selected entrant cannot successfully be contacted (including, without limitation, but for greater certainty, because notifications are returned as undeliverable) or does not respond to any notification within the Notification Period for any reason, then such selected entrant will be disqualified (and forfeit all rights to their prize) and the Sponsor reserves the right, in its sole discretion, to randomly select (or to direct the Administrator to select) an alternate Eligible Entrant for the applicable Prize from among the remaining eligible entries received in accordance with these Contest Rules (in which case, the foregoing provisions of this section shall apply to such new selected Eligible Entrant). For greater certainty and the avoidance of any doubt, the Sponsor does not have the obligation to select an alternate eligible winner.

By participating in this Contest and accepting the Prize, the Prize winner hereby (i) confirms compliance with these Contest Rules and acknowledges acceptance of the Prize as awarded and (ii) agrees to release the Contest Parties from any and all claims, damages, liabilities, costs, and expenses arising from any liability in connection with this Contest and/or their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof.

Prior to being declared the confirmed winner of the Prize, the selected Eligible Entrant will be required to sign and submit the Sponsor's Declaration and Release form within five (5) business days of the required return date indicated on the form or by the Administrator, which Declaration and Release form (among other things) (a) confirms compliance with these Contest Rules; (b) acknowledges acceptance of the prizes as awarded; (c) releases the Sponsor, the Administrator, and each of their respective officers, directors, employees, agents, representatives, successors, and assigns (collectively, the "Released Parties") from any and all liability, loss, injury, or damage of any kind (including attorney's fees) to any person or entity, including, without limitation, personal injury, death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of: (1) entrant's participation/entry into the Contest; (2) the acceptance, possession, use, or misuse of a Prize or participation in any activities associated with the Contest or any Prize awarded. 3) any alleged violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (5) any typographical, human, or other error in the printing, offering, selection, operation, or announcement of any Contest activity and/or Prize; and (d) grants permission to the Released Parties to take visual and audio recordings in connection with the Contest and agrees to the publication, reproduction, and/or other use of their name, address, voice, statements about the Contest, and/or recordings, photograph, or other likeness without further notice or compensation, in any publicity or advertisement carried out by the Released Parties in any manner whatsoever, including print, broadcast, or the internet. If an eligible potential winner (i) fails to correctly answer the mathematical skill-testing question; (ii) fails to submit the properly executed Contest documents required by the Sponsor (including, without limitation but for greater certainty, the Sponsor's Declaration and Release form); (iii) otherwise fails to comply with these Contest Rules; or (iv) cannot accept the Prize for any reason, then they will be disqualified and will forfeit all rights to the Prize. As noted above, in such event, the Sponsor does not have the obligation to select alternate eligible winners.

The Prize winner agrees to cooperate in any investigations by the Contest Parties to confirm eligibility requirements for the Contest and to help ensure that the use of such winner in advertising or publicity for the Contest will not bring the Contest Sponsors into public disrepute, contempt, scandal, or ridicule or reflect unfavourably on the Contest or the Contest Parties, as determined in their sole discretion, by the Contest Parties.

In the event the Sponsor or the Administrator is prevented from continuing with the Contest and/or the Prize as a result of any event beyond its control, including, but not limited to, fire, flood, pandemic, epidemic, earthquake, explosion, labour dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Contest by any party, or any federal, local, or state government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor's and/or Administrator's control, the Sponsor shall have the right to modify, suspend, or terminate the Contest or Prize. The Sponsor and Administrator additionally reserve the right, in their sole and absolute discretion, to: (a) modify, suspend, or terminate the Contest should causes beyond the Sponsor's or the Administrator's control corrupt or interfere with the administration, integrity, operation, security, or proper play of the Contest; or (b) disqualify any entrant found to be, or suspected of, (i) tampering with the entry process or the operation of the Contest; (ii) acting in violation of these official Contest Rules; or (iii) acting in an unsportsmanlike manner.

Released Parties make no warranty, guaranty, or representation of any kind concerning the Prize (or any portion thereof) and disclaim any implied warranty. Without limiting the generality of the foregoing, entrants agree that the Released Parties: (a) maintain no control over the personnel, equipment, or operation of any manufacturer, or other person or entity furnishing services, products, or accommodations ("Suppliers") as a part of the Prize; and (b) will not be responsible or liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to: (i) the wrongful, negligent or unauthorized act or omission on the part of the Suppliers or any of their agents, servants, employees, or independent contractors; (ii) any defect in or failure of any vehicle, equipment, instrumentality, service, or product that is owned, operated, furnished, or otherwise used by any of those Suppliers; (iii) the wrongful, negligent, or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties; and (iv) any cause, condition or event whatsoever beyond the control of the Released Parties. Sponsor's failure to enforce any term of these official Contest Rules shall not constitute a waiver of that provision.

5. GENERAL CONDITIONS:
By participating in this Contest, each entrant: (i) agrees to be bound by these Contest Rules; (ii) agrees to release and hold harmless the Released Parties from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property–related cause of action; and (iii) releases the Released Parties from any and all liability in connection with this Contest and the entrant's participation therein. The Released Parties will not be liable for: (i) any failure of any website during the Contest; (ii) any technical malfunction, interruption, failure, or other problems relating to any telephone or other network or lines, computer online systems, servers, access providers, computer equipment, or software; (iii) the failure of any entry to be received for any reason including, but not limited to, loss, technical problems, or traffic congestion on the internet or at any website or mobile network; (iv) any injury or damage to an entrant's or any other person's computer or other device related to or resulting from participating or downloading any material in the Contest; and/or (v) any combination of the above.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, suspend, or amend this Contest in any way, in the event of an error, technical problem, computer virus, bug, tampering, unauthorized intervention, fraud, technical failure, or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of the Contest as contemplated by these Contest Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend, or suspend this Contest or to amend these Contest Rules, without prior notice or obligation, in the event of any accident, administrative, human processing error, other error of any kind, or for any other reason.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Contest Rules or the rights and obligations of participants, Sponsor or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the State of Florida and the federal laws of the United States applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction's laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Florida in any action to enforce (or otherwise relating to) these Contest Rules or relating to this Contest. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entrants and/or entries.

The Sponsor reserves the right, in its sole and absolute discretion and without prior notice, to adjust any of the dates and/or time frames stipulated in these Contest Rules, to the extent necessary, for purposes of verifying compliance by any entrant or entry with these Contest Rules, or as a result of technical problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Contest Rules.

In the event of any discrepancy or inconsistency between the terms and conditions of these Contest Rules and disclosures or other statements contained in any Contest-related materials, Rules, point of sale, television, print or online advertising, and/or any instructions or interpretations of these Contest Rules given by any representative of the Sponsor, the terms and conditions of this English version of the Contest Rules shall prevail, govern, and control to the fullest extent permitted by law.
